Course Overview
When starting out for the first time as a founder and director of a new business everything is new. There is a whole new lexicon of terms and abbreviations to assimilate, often in real time. There are few easy-to-understand resources available for the new director of a small early stage company. This course is designed to address that need by guiding you through an overview of how a company actually operates.
The course is divided into 3 sessions. In the first session we look at the different types of corporate entity you can use to conduct your business and why the company limited by shares, with its provision of limited liability of directors and shareholders, is the pre-eminent form used by all types of business across the world. In the second session we examine the essential contracts and agreements you need to have in place to ensure that the company has control over its assets. We look at the need for Working Capital, the various ways you can source it and the processes you need to start if you raise investment to fund company operations and growth. In the third session we look at what you need to focus on to (i) be ready to raise investment and (ii) be ready to consider a possible offer of acquisition and exit.
This course is in total around 2 hours duration. Each session includes an AV presentation, with a full-featured media-player, presentation deck, textbook and a series of case studies including example Articles of Association, Contracts of Employment for Employees and Directors Service Agreements for Exec as well as Non-Exec Directors, Term Sheets and Investment Agreements, Due Diligence Checklists, Cap Tables to ‘play with’ and examples of Warranties and Covenants.
This course requires you bring a clean note book or notepad, several pens or pencils and space to think.
